Terms of Service

Welcome to MindSproutLab. Our mission is to help children develop essential emotional and social skills through engaging online psychoeducation groups led by trained facilitators.

These Terms of Service (the “Terms”) contain essential terms and conditions regarding your use of MindSproutLab’s online psychoeducation groups, including any materials, data, information, and content available through them. Please review the terms very carefully before using our services. We encourage you to contact us at hello@mindsproutlab.com with any questions or concerns before proceeding.

These Terms incorporate MindSproutLab’s Privacy Policy by reference in its entirety, and all references to these Terms shall include our Privacy Policy. Please review our Privacy Policy carefully.

Important note: by agreeing to these terms and conditions, you agree to resolve disputes through binding arbitration or small claims court on an individual basis, as described in section 18. You waive your rights to: (a) seek relief in other courts; (b) have disputes decided by a judge or jury in some cases; and (c) participate in a class action lawsuit against MindSproutLab. Please review section 18 for more details.

These Terms constitute a legally binding contract between you and MindSproutLab that governs your access to and use of MindSproutLab’s online psychoeducation groups and services. By accessing and/or using MindSproutlab’s services, you represent that you fully understand and agree to be unconditionally bound by these terms in their entirety, to the fullest extent permitted by applicable law.

MindSproutLab’s services are only available to persons eighteen (18) years of age or older. You must create an account as an adult to enroll your child who is between the ages of 6-16 in our online psychoeducation groups. You may not enroll anyone under the age of 6 or over the age of 16.

1. Definitions

a. “MindSproutLab,” “Company,” “us,” “our,” and “we” all refer to MindSproutLab, a Canadian company.

b. “You,” “your,” “yourself,” and “User” refer to you, as an individual, plus any entity, individual, and/or organization on whose behalf you are acting in connection with the Services.

c. “Party” means each of you and MindSproutLab. Collectively, you and MindSproutLab are the “Parties.”

d. “Affiliates” refers to an entity’s executives, employees, officers, directors, agents, attorneys, representatives, partners, joint ventures, parents, subsidiaries, successors, and assigns, collectively. An “Affiliate” refers to any one of the foregoing.

e. “Claims” refer to claims, disputes, controversies, matters, and causes of action, collectively. A “Claim” refers to any one of the foregoing.

f. “Losses” refers to liabilities, harms, losses, debts, damages, awards, expenses, fees, costs, penalties and fines, collectively. A “Loss” refers to any one of the foregoing.

g. “Services” refer to any and all services arising out of and/or relating to MindSproutLab’s online psychoeducation groups, including, without limitation, the website, mobile applications, content, group sessions, educational materials, resources, and other services we offer.

h. “Online Groups” or “Group Sessions” refer to the live, facilitated online psychoeducation sessions designed for children ages 6-16.

i. “Facilitator” refers to the trained educator or professional who leads and guides the Online Groups.

j. “MindSproutLab Content” refers to any and all data, information, content, material, and other intellectual property available through our Services in various formats, including but not limited to code, data, text, images, multimedia content, designs, graphics, illustrations, photographs, banners, messages, videos, visual interfaces, features, functionalities, educational materials, worksheets, activities, and software applications, but specifically excluding Personal Information and User Content.

k. “User Content” refers to any text, photos, graphics, images, video, audio, multimedia, and other materials you or your child create, modify, post, provide, upload, send, and/or share in connection with our Services.

l. “Payment Information” refers to your financially sensitive information that enables a purchase, such as credit/debit card numbers, CVCs, expiration dates, and PINs.

m. “Payment Method” refers to a valid, current, accepted means of remitting payment for Services, as permitted by MindSproutLab.

n. “Personal Information” refers to information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with you or your child.

2. Online Psychoeducation Group Services

If you enroll your child in our Online Groups, you acknowledge and agree to the following:

a. SERVICE DESCRIPTION

MindSproutLab offers subscription-based online psychoeducation groups designed to help children ages 6-16 develop emotional intelligence, social skills, coping strategies, and resilience. Groups are facilitated by trained educators and professionals in a supportive, age-appropriate environment.

b. GROUP PLACEMENT

MindSproutLab will assign your child to an appropriate group based on their age and other relevant factors. While we strive to maintain consistent group composition, we reserve the right to reassign children to different groups as needed for optimal learning experiences.

c. SESSION SCHEDULING

Group sessions are scheduled at regular times each week. You will be notified of your child’s assigned group schedule upon enrollment. Sessions typically run for 45-60 minutes.

d. ATTENDANCE AND PARTICIPATION

Regular attendance is important for your child’s learning experience and for maintaining group cohesion. We kindly ask that you ensure your child attends scheduled sessions whenever possible.

e. CANCELLATION POLICY

If your child cannot attend a scheduled session, please notify us at least 24 hours in advance by contacting hello@mindsproutlab.com. While we understand that unexpected situations arise, repeated absences may affect your child’s placement in the group.

f. RESCHEDULING AND MAKEUP SESSIONS

Individual makeup sessions are generally not available for missed group sessions, as the learning occurs within the group dynamic. However, if MindSproutLab cancels a session or experiences technical difficulties, we will reschedule the session or provide an appropriate credit.

g. FACILITATOR ASSIGNMENT

MindSproutLab reserves the right to assign and reassign facilitators at our discretion. While we make every effort to maintain consistency, facilitator changes may occur due to availability, scheduling conflicts, or other operational needs.

h. SUBSCRIPTION TERMS

Your subscription begins on the date of your initial payment and continues on a recurring basis until canceled. Subscription fees are charged at the beginning of each billing period (monthly or as otherwise specified).

i. SUBSCRIPTION CANCELLATION

You may cancel your subscription at any time by contacting hello@mindsproutlab.com. Cancellations will take effect at the end of your current billing period. No partial refunds will be provided for unused portions of a billing period unless required by applicable law.

j. PROGRAM CHANGES

MindSproutLab reserves the right to modify program content, session formats, group sizes, and scheduling to improve the quality of our services or respond to operational needs.

3. Educational Nature of the Services

You must acknowledge and agree to the following:

a. EDUCATIONAL PURPOSE

MindSproutLab’s online groups are educational programs and do not provide medical, psychological, therapeutic, or clinical services. Our programs are designed to teach children skills and strategies for emotional and social development through psychoeducation.

b. NOT A TREATMENT OR THERAPY

MindSproutLab’s services are not therapy, counseling, or treatment for mental health conditions. Our facilitators are educators, not therapists or clinicians. If your child requires mental health treatment, please consult with appropriate healthcare professionals.

c. NOT A SUBSTITUTE FOR PROFESSIONAL CARE

MindSproutLab’s programs do not replace the need for consultation with healthcare providers, mental health professionals, or educational specialists. We strongly recommend that you consult with appropriate professionals regarding any concerns about your child’s development, behavior, or well-being.

d. NO DELAY IN SEEKING CARE

You covenant that you will not delay in seeking care or otherwise ignore the advice or direction of a qualified professional based on your child’s participation in MindSproutLab’s programs. If you believe your child may be experiencing a medical or psychological emergency, please dial 9-1-1 or contact your local emergency services immediately.

e. NO CLINICAL RELATIONSHIP

Participating in MindSproutLab’s Online Groups does not establish a clinical, therapeutic, or doctor-patient relationship with MindSproutLab or any of its employees, contractors, or facilitators.

f. PROGRAM LIMITATIONS

While our programs are designed to support children’s social-emotional learning, we cannot guarantee specific outcomes or results. Each child’s learning experience is unique and depends on many factors, including engagement, practice, and individual circumstances.

4. Child Safety and Code of Conduct

MindSproutLab is committed to providing a safe, respectful, and inclusive environment for all children. By enrolling your child in our services, you agree to the following:

a. PARENTAL SUPERVISION

While facilitators oversee group sessions, you remain responsible for your child’s supervision during their participation in Online Groups. You should ensure your child is in an appropriate environment for learning and that you are available nearby if needed.

b. CHILD CODE OF CONDUCT

Your child is expected to:

d. REPORTING CONCERNS

If you have any concerns about your child’s safety, the behavior of other participants, or the conduct of facilitators, please contact us immediately at hello@mindsproutlab.com.

e. SAFEGUARDING

MindSproutLab takes child safety seriously. All facilitators undergo background checks and training in child safeguarding. If we observe or learn of any child protection concerns, we will take appropriate action, which may include reporting to relevant authorities as required by law.

5. Recording and Monitoring

a. SESSION RECORDING

MindSproutLab may record Online Group sessions for quality assurance, training, safeguarding, and program improvement purposes. By enrolling your child in our services, you consent to such recording.

b. RECORDING NOTICE

Participants will be notified at the beginning of each session if it is being recorded. Recordings are stored securely, and access is limited to authorized MindSproutLab personnel only.

c. RETENTION

Session recordings are retained for a limited period (typically 30-90 days) unless longer retention is necessary for safeguarding investigations or legal requirements. After this period, recordings are securely deleted.

d. NO PERSONAL RECORDING

You and your child may not record, screenshot, or otherwise capture any portion of the Online Group sessions without express written permission from MindSproutLab. This protects the privacy of all participants.

6. Eligibility Requirements

a. PARENT/GUARDIAN ELIGIBILITY

By accessing the Services, you represent that you are of sound mind and legal capacity to agree to our Terms and are in possession of the full rights and/or authorization to: (a) consent to our Terms; (b) agree to and pay for the Services; (c) authorize all rights and licenses herein granted to MindSproutLab and assume all responsibilities, liabilities, debts, and obligations herein required of you; and (d) submit any Personal Information provided in connection with the Services. You must be eighteen (18) years of age or older to create an account and enroll a child in our services.

b. CHILD ELIGIBILITY

MindSproutLab’s Online Groups are designed for children aged 6-16. You may not enroll children under 6 years of age or over 16 years of age. You represent that you are the parent or legal guardian of any child you enroll in our services, or that you have explicit permission from the parent or legal guardian to enroll the child on their behalf.

c. APPROPRIATE FIT

Our programs are designed for children who can meaningfully participate in group learning environments. Children should have:

If we determine that our programs are not an appropriate fit for your child’s needs, we reserve the right to recommend alternative resources and discontinue services.

d. NON-ELIGIBILITY

We reserve the right to terminate your or your child’s access to the Services for any violation of our Terms or any provision of any other agreement between you and MindSproutLab. Furthermore, you may not use the Services if you are:

i. Currently restricted or prohibited from using our Services;

ii. A past, present, or imminent competitor of MindSproutLab and/or closely connected to one or more of our past, present, or imminent competitors;

iii. Acting on behalf of another person or entity without that person or entity’s permission;

iv. Under a legal obligation that restricts and/or precludes your use of the Services; and/or

v. Otherwise unwilling to fully agree to and follow all of our Terms.

e. IMMEDIATE TERMINATION

You agree to cease from all further use of the Services if you or your child are or become ineligible. You further agree to email hello@mindsproutlab.com with the subject “End Use” with details about your reason for ceasing all further use.

7. Limited License to Use the Services

a. LICENSE GRANT

As long as you remain eligible, you are granted a limited, non-exclusive, non-assignable, non-transferable, non-sublicensable, non-delegable, and fully revocable license to access and make use of the Services for personal, non-commercial use in accordance with these Terms. MindSproutLab reserves the right to suspend, limit, or revoke this license for any reason, with or without warning or notice, in our sole and absolute discretion.

b. ACCOUNT CREATION

You are allowed to create a single account for yourself, as an individual eighteen (18) years of age or older, in order to use the Services (an “Account”). You accept that, in order to create an Account, MindSproutLab may require you to provide certain Personal Information and login credentials; this includes, without limitation, furnishing your name, email address, contact information, and information about your child. You represent that you have provided and warrant that you will provide truthful, accurate, complete, up-to-date information at all times in connection with the Services.

c. ACCOUNT SECURITY

You acknowledge and accept that MindSproutLab will attribute all actions and usage of your Account to you. To the fullest extent permitted by applicable law, you are solely responsible for the security of your password, Account information, and any Personal Information connected thereto; you agree to maintain all such information as confidential at all times, and you agree to accept full responsibility for any decision to disclose and/or failure to protect such information.

d. ELECTRONIC COMMUNICATIONS

By entering into these Terms, you consent to the use of email, text message, or other electronic methods of communication between you and MindSproutLab for purposes of discussing information relevant to the Services. You hereby acknowledge that electronic messages are typically not a confidential means of communication, and that there is a reasonable chance that a third party may be able to intercept and see such messages.

e. ACCOUNT TERMINATION

You may elect to deactivate your account with MindSproutLab, cease using the Services, delete your account, and/or terminate your agreement to these Terms at any time by sending an email to hello@mindsproutlab.com.

i. You acknowledge and agree that your decision to deactivate, cease usage, and/or terminate this Agreement does not automatically entitle you to a credit, rebate, refund, or discount and may result in the removal and/or deletion of your Account, your Personal Information, and/or your User Content, at MindSproutLab’s sole election and discretion.

ii. Termination of your agreement to these Terms shall not prejudice or affect any right of action or remedy which has accrued or will thereafter accrue to either Party with respect to a breach of any representations, warranties, covenants, and/or other obligations hereunder.

8. User Responsibilities and Conduct

a. INTELLECTUAL PROPERTY

You covenant that you shall not sell, rent, lease, barter, recreate, reproduce, copy, modify, create derivative works from, license, sublicense, distribute, publish, republish, perform, transmit, transfer, display, exhibit, exploit, and/or make commercial use of the Services, or any aspect thereof (including without limitation the MindSproutLab Content), without the prior express written consent of MindSproutLab.

b. NO RESALE

You covenant that you shall not directly or indirectly resell or export any aspect of the Services, including, without limitation, any MindSproutLab Content resulting therefrom and/or relating thereto.

c. PROPER USE

You agree to use the Services in a reasonable and fair manner. You will:

i. Treat MindSproutLab staff, facilitators, and other families kindly and respectfully;

ii. Provide complete, truthful, and up-to-date information;

iii. Ensure your child follows the Code of Conduct;

iv. Not attempt to disrupt our technology or misappropriate our intellectual property;

v. Follow all applicable laws at all times in connection with the Services;

vi. Not use the Services for any fraudulent, deceptive, harmful, or illegal purpose.

d. NO INTERFERENCE

You shall not make efforts to impair, disrupt, overburden, damage, or interfere with the proper working order of any technologies, systems, or operations belonging to MindSproutLab, our Affiliates, our licensors, and/or any of our third-party providers.

e. NO REVERSE ENGINEERING

You shall not make efforts to decompile, disassemble, reverse engineer, translate, render generically, modify, mimic, duplicate, or otherwise derive any aspect, feature, function, or detail concerning or relating to the Services, except to the extent that such a restriction is expressly forbidden by law.

9. MindSproutLab Rights and Intellectual Property

a. RIGHT TO MODIFY

MindSproutLab reserves the right to update, improve, modify, alter, limit, suspend, discontinue, and re-introduce the Services — and any aspects, portions, details, features, specifications, and functions thereof — as well as adjust or modify any pricing, availability, and timeframes offered with respect to the Services.

b. CHANGES TO TERMS

MindSproutLab reserves the right to supplement, delete, or otherwise modify some or all of these Terms — or any portions thereof — at any time, for any reason, with or without notice, in our sole discretion. We will notify you of material changes through email or the Services.

c. INTELLECTUAL PROPERTY OWNERSHIP

All MindSproutLab Content — and all copyright, trademark rights, service mark rights, patent rights, and other intellectual property rights and proprietary rights arising out of, relating to, and/or appearing in connection with the MindSproutLab Content — are owned by us and/or one or more of our third-party licensors or other providers and are protected by Canadian and international intellectual property laws.

d. USER CONTENT LICENSE

Subject to the conditions set forth in these Terms (including but not limited to our Privacy Policy), you hereby grant MindSproutLab a perpetual, irrevocable, non-exclusive, royalty-free, fully sub-licensable, fully transferrable worldwide right and license to exercise any and all rights you may have as to any User Content you or your child disclose, generate, and/or submit arising out of and/or relating to your use of the Services, for purposes of providing and improving the Services.

10. Privacy and Information Usage

a. PRIVACY POLICY

MindSproutLab’s Privacy Policy governs how we collect, use, and protect your Personal Information and your child’s information. We urge you to carefully review our Privacy Policy, as it directly impacts how MindSproutLab handles Personal Information and other data.

b. CANADIAN PRIVACY LAW

MindSproutLab complies with the Personal Information Protection and Electronic Documents Act (PIPEDA) and applicable provincial privacy laws. By using the Services, you consent to the collection and use of information about you and your child as described in our Privacy Policy.

c. ANONYMIZED DATA

You authorize MindSproutLab to use anonymized and aggregated data from the Services for research, product improvement, and educational purposes. This includes, but is not limited to, evaluating program effectiveness, improving content and curricula, and developing better educational resources.

d. DATA SECURITY

We implement reasonable security measures to protect your data, including encryption, access controls, regular security assessments, and staff training on data protection. While we take data security seriously, you acknowledge that no data transmission or storage system is 100% secure, and we cannot guarantee absolute security of your information.

11. Billing and Payment

a. AUTHORIZATION TO CHARGE

You authorize MindSproutLab to:

i. Charge your Payment Method in full for all amounts listed at the time of purchase/transaction confirmation, inclusive of any applicable taxes, charges, and fees;

ii. Disclose your Personal Information, including your Payment Information, to our Affiliates and payment providers as reasonably necessary to facilitate payment for the Services;

iii. Make use of any other Payment Methods you have submitted in the event that one of your Payment Methods is refused or denied.

b. PRICING

The price for the Services is as stated on our website at the time of purchase. Pricing may vary based on program type, duration, and other factors. We reserve the right to change pricing with reasonable notice to existing subscribers.

c. SUBSCRIPTION BILLING

For subscription services, you will be charged at the beginning of each billing period. You authorize us to charge your payment method for the subscription fees until you cancel your subscription.

d. PAYMENT RESPONSIBILITY

You represent and warrant that, to the extent you submit Payment Information during the course of using the Services:

i. The payment method connected to such a transaction will honor the charges you have incurred;

ii. You shall bear full responsibility for all amounts denied, refused, or uncollected.

e. TAXES

You are responsible for any applicable federal, provincial, or local sales taxes, GST/HST, or other taxes associated with your purchase of the Services.

12. Refund Policy

a. SATISFACTION GUARANTEE

We are committed to providing high-quality services. If you are not satisfied with MindSproutLab’s services, you may be eligible for a refund under the following conditions:

i. Full Refund: If you cancel within 14 days of your initial enrollment AND your child has attended no more than one group session, you will receive a full refund.

ii. Partial Refund: If your child has attended 2-3 sessions within the first billing period, you may be eligible for a partial refund (50% of fees paid) at MindSproutLab’s discretion.

iii. No Refund: After your child has attended 4 or more sessions, or after the first billing period has ended, no refund will be issued. This policy recognizes that group spots are limited, and your enrollment prevents other families from accessing those spaces.

b. REQUESTING REFUNDS

To request a refund, you must contact hello@mindsproutlab.com with your account information and reason for requesting a refund within the applicable refund period.

c. REFUND PROCESSING

Refunds will be processed using the same payment method used for the original purchase and may take up to 14 business days to process.

d. SERVICE CREDITS

In cases where MindSproutLab cancels sessions, experiences significant technical difficulties, or otherwise fails to deliver services, we will provide appropriate service credits or schedule makeup sessions rather than monetary refunds.

e. REQUIRED BY LAW

Nothing in this refund policy limits any rights you may have under applicable consumer protection laws in your jurisdiction.

13. Service Availability and Technical Requirements

a. SERVICE UPTIME

We strive to provide reliable services with minimal interruptions. However, we do not guarantee 100% uptime. Service interruptions may occur due to:

i. Scheduled maintenance or repairs;

ii. Technical issues beyond our reasonable control;

iii. Internet service provider outages;

iv. Force majeure events.

b. TECHNICAL REQUIREMENTS

To participate in Online Groups, you must have:

i. A reliable internet connection with sufficient bandwidth for video streaming;

ii. A device with camera and microphone capabilities (computer, tablet, or smartphone);

iii. Access to the required video conferencing platform;

iv. An appropriate, quiet space for your child to participate.

c. TECHNICAL SUPPORT

MindSproutLab will provide reasonable technical support to help you access the Services. However, we are not responsible for technical issues on your end, including but not limited to internet connectivity problems, device malfunctions, or software compatibility issues.

d. ALTERNATIVE ARRANGEMENTS

If technical difficulties prevent a session from being completed due to issues on our end, we will reschedule the session or provide an appropriate credit to your account.

14. Third-Party Services and Resources

a. THIRD-PARTY REFERENCES

While using the Services, MindSproutLab may reference or recommend third-party services, products, or resources. These are provided for informational purposes only and do not constitute an endorsement by MindSproutLab.

b. NO WARRANTY FOR THIRD PARTIES

Neither Mindsproutlab nor our affiliates makes any warranty or representation regarding the availability, quality, efficacy, accuracy, reliability, safety, cost, legality, or results of any third party’s offerings.

c. NO LIABILITY

You acknowledge and agree that, to the fullest extent permitted by applicable law, neither MindSproutLab nor our Affiliates shall hold any liability or responsibility with respect to any third-party advice, information, products, or services.

15. Links to Other Resources

Although the Services may link to other resources (such as websites, mobile applications, etc.), we are not, directly or indirectly, implying any approval, association, sponsorship, endorsement, or affiliation with any linked resource, unless specifically stated herein. We are not responsible for examining or evaluating, and we do not warrant the offerings of any businesses or individuals or the content of their resources. We do not assume any responsibility or liability for the actions, products, services, and content of any other third parties. You should carefully review the legal statements and other conditions of use of any resource which you access through a link from our Services. Your linking to any other off-site resources is at your own risk.

16. Prohibited Uses

In addition to other terms as set forth in these Terms, you are prohibited from using the Services:

(a) For any unlawful purpose;

(b) To solicit others to perform or participate in any unlawful acts;

(c) To violate any international, federal, provincial, or local regulations, rules, or laws;

(d) To infringe upon or violate our intellectual property rights or the intellectual property rights of others;

(e) To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability;

(f) To submit false or misleading information;

(g) To upload or transmit viruses or any other type of malicious code that will or may affect the functionality or operation of the Services, third-party products and services, or the Internet;

(h) To spam, phish, pharm, pretext, spider, crawl, or scrape;

(i) For any obscene or immoral purpose;

(j) To interfere with or circumvent the security features of the Services, third-party products and services, or the Internet;

(k) To record, screenshot, or capture any portion of Online Group sessions without express written permission;

(l) To share another child’s personal information or content without parental permission.

We reserve the right to terminate your use of the Services for violating any of the prohibited uses.

17. Disclaimer of Warranties and Limitation of Liability

a. AS-IS SERVICE

THE SERVICES ARE PROVIDED “AS IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

b. NO LIABILITY FOR INDIRECT DAMAGES

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT NEITHER MindSproutLab NOR OUR AFFILIATES SHALL BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, RELIANCE, SPECIAL, OR PUNITIVE DAMAGES — OR FOR ANY LOSSES ARISING THEREFROM AND/OR RELATING THERETO.

c. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT THE MAXIMUM, AGGREGATE LIABILITY FOR MindSproutLab AND OUR AFFILIATES IN CONNECTION WITH THE SERVICES AND/OR THESE TERMS SHALL BE THE GREATER OF (i) $100.00 CAD OR (ii) AMOUNTS ACTUALLY PAID BY YOU FOR THE SERVICES IN THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

d. EXCEPTIONS

This limitation of liability shall not apply to any matters arising out of and/or relating to the gross negligence, willful misconduct, or fraud of MindSproutLab, or to the extent prohibited by applicable law.

e. ESSENTIAL PURPOSE

You acknowledge that these limitations of liability are an essential element of the agreement between you and MindSproutLab, and that MindSproutLab would not provide the Services without these limitations.

18. Dispute Resolution

a. CHOICE OF LAW

These Terms and any Claims arising out of or relating to MindSproutLab, our Affiliates, the Services, and/or these Terms will be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

b. INFORMAL RESOLUTION

Before initiating any formal dispute resolution process, you agree to first contact MindSproutLab at hello@mindsproutlab.com to attempt to resolve the dispute informally. We are committed to working with you in good faith to resolve concerns.

c. BINDING ARBITRATION

If we cannot resolve a dispute informally within 30 days, you and MindSproutLab agree to resolve Claims through binding arbitration, except that either party may bring an individual action in small claims court if the Claim qualifies.

d. ARBITRATION PROCEDURES

Arbitration shall be conducted in accordance with the Arbitration Act of Ontario (or the applicable provincial arbitration legislation where you reside). The arbitration shall be conducted by a single arbitrator mutually agreed upon by the parties, or if no agreement can be reached, appointed according to the applicable arbitration rules. The arbitration shall be conducted in the city where you reside or at another mutually agreed location, or by written submissions if both parties agree.

e. CLASS ACTION WAIVER

YOU AND MindSproutLab EACH AGREE TO BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR COLLECTIVE PROCEEDING. TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, YOU AND MindSproutLab EACH AGREE NOT TO PURSUE OR RECOVER ANY DAMAGES OR OTHER RELIEF IN CONNECTION WITH ANY CLAIMS AGAINST THE OTHER IN A CLASS ACTION, COLLECTIVE ACTION, MASS ACTION, PRIVATE ATTORNEY GENERAL PROCEEDING, OR OTHER AGGREGATED PROCEEDING.

f. ARBITRATION COSTS

Each party shall bear their own costs of arbitration, except that MindSproutLab will pay the arbitrator’s fees if required to do so by applicable law or arbitration rules.

g. OPT-OUT

You may opt out of this arbitration agreement within 30 days of accepting these Terms by sending written notice to hello@mindsproutlab.com. If you opt out, all other provisions of these Terms will still apply.

h. VENUE

For any disputes not subject to arbitration, you and MindSproutLab consent to the exclusive jurisdiction of the courts located in Ontario, Canada.

19. Indemnification

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY AGREE TO INDEMNIFY, DEFEND, AND HOLD MindSproutLab AND OUR AFFILIATES HARMLESS IN CONNECTION WITH ANY THIRD-PARTY CLAIM — AND ALL RELATED LOSSES — ARISING OUT OF AND/OR RELATING TO:

(a) Your use or misuse of the Services;

(b) Your child’s use or misuse of the Services;

(c) Your or your child’s violation of these Terms;

(d) Your or your child’s violation of any rights of another person or entity;

(e) Your or your child’s violation of any applicable laws or regulations;

(f) Any content or information you or your child submits, posts, or transmits through the Services;

EXCEPT WITH RESPECT TO ACTS AND/OR OMISSIONS THAT RESULTED FROM MindSproutLab’S SOLE NEGLIGENCE, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD.

20. Miscellaneous

a. ASSIGNMENT

You may not assign, delegate, sell, or transfer any of your rights or obligations under these Terms without MindSproutLab’s prior written consent. MindSproutLab may freely assign, delegate, sell, and/or transfer our rights and obligations under these Terms.

b. FORCE MAJEURE

MindSproutLab shall not hold any liability or responsibility for any Losses — or be deemed to have defaulted or breached these Terms — for any failure or delay in fulfilling or performing any term of these Terms that results from factors beyond the scope of our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, internet outages, or other circumstances beyond our control.

c. SEVERABILITY

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, the impact of that unenforceability or invalidity will be construed as narrowly as possible, and the remainder of these Terms shall nevertheless remain in full force and effect to the extent legally permissible.

d. WAIVER

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition. MindSproutLab’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

e. ENTIRE AGREEMENT

These Terms, including without limitation the Privacy Policy, constitute the entire agreement between you and MindSproutLab with respect to the Services and supersede all prior and/or contemporaneous agreements, understandings, representations, and warranties between you and MindSproutLab, whether oral or written, arising out of and/or relating to the Services.

f. HEADINGS

The section and subsection headings in these Terms are for convenience only and shall not affect the interpretation of these Terms.

g. LANGUAGE

The parties have expressly requested and required that these Terms and all related documents be drawn up in the English language. Les parties ont expressément demandé et exigé que cette convention et tous les documents qui s’y rapportent soient rédigés en langue anglaise.

h. SURVIVAL

All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation: ownership provisions, warranty disclaimers, indemnification obligations, limitations of liability, and dispute resolution provisions.

21. Changes and Amendments

We reserve the right to modify these Terms or their provisions related to the Services at any time at our discretion. When we do, we will revise the “Last Updated” date at the bottom of this page and notify you through the Services or by email. An updated version of these Terms will be effective immediately upon the posting of the revised Terms unless otherwise specified. Your continued use of the Services after the effective date of the revised Terms (or such other act specified at that time) will constitute your consent to those changes.

If you do not agree to the amended Terms, you must stop using the Services and contact us to cancel your account.
